This End User License Agreement ("EULA") is a legal agreement between you and Enping Lika Electronics Co., Ltd. ("Lika") on the above-mentioned Lika software product miaudio and related documents (collectively referred to as the "Software"). Considering that you have purchased a Powercard product ("Product"), your downloading, installation and use of the software are governed by this EULA. Please read this EULA carefully and make sure you fully understand it. You can download, install and use this software only if you agree to abide by the EULA. You may choose to accept or reject this EULA. You may not download, install or use the Software unless you accept the EULA. You can accept this EULA by clicking the dialog box that displays "I accept the terms of the license agreement" on the screen. You can decline to accept the EULA by clicking the dialog box that displays "I do not accept the terms of the license agreement" on the screen. By clicking the Accept dialog box or by installing, copying, or otherwise using the software, you agree to be legally bound by the terms of this EULA. If you do not agree to these terms, please immediately stop further use of the software.

Software elements can contain, use or come from materials of third-party licensors (collectively referred to as "third-party applications"), including but not limited to third-party applications licensed by third-party licensors under the GNU looser public license or other so-called "open source" software licenses, as described in the third-party license notice attached to this software. Third party applications are owned or licensed by a third party (collectively, the "Third Party Licensor"), and your right to use such third party applications will only depend on the applicable license agreement of the third party licensor.

1、 Functions of this service

This service software is an application program developed independently in cooperation with the Powercard product. The software can identify the connection of the Powercard product and perform tuning and setting. The Powercard product's built-in DSP processor enables the software to set a variety of tuning functions (input gain, monitoring volume, high pass filter, limiter, equalizer, mono/stereo switch, preset).

2、 Scope and Limitation of Liability

The results you get from using this service are for reference only, and the actual situation is subject to the official.

3、 Privacy protection

We attach importance to the protection of your privacy. Your personal privacy information will be protected and regulated according to the Privacy Policy. Please refer to the Privacy Policy for details.

4、 Licensing

1. Considering that you have purchased a Powercard product ("Product") and the accompanying software for supporting use and/or downloaded this software, and that you have accepted this EULA, Powercard, as the licensor, grants you (the licensee) a license to use the latest version of this software with the product according to the terms and conditions of the EULA, which is limited, non transferable and non exclusive. In the EULA, the pronouns "you" or "your" mentioned anywhere refer to you, that is, the end-user of the product and/or software. "We" mentioned in EULA refers to Ricard.

2. We can, but have no obligation to, release software updates, patches and fixes (collectively referred to as "Updates"). If we release software updates to the public or others or when we do so, we may (but are not obligated to) provide you with such updates. Updated software shall be subject to the terms of this EULA. We may also, at our discretion, at any time, in order to provide you with new updates, you will need to read the EULA again (we may modify the EULA ourselves) and accept it again before you can download and/or install any such updates. In some cases, if you decide not to click the Accept dialog box, you may still be able to use the software, but you will not be able to use any features added to the software through updates. In most cases, if you decide not to click the Accept dialog box, we will ask you to uninstall and you must agree to uninstall the software version installed on your computer at that time, or we may make the software unusable. If we require that you continue to use the software on the condition that you accept any update provided by us, then when you refuse to accept the update, your license to use the installed version (or any other version) will end on the day you refuse to accept the update by clicking the Accept dialog box.

3. Lika reserves the ownership and ownership of the software and all rights not expressly granted to you in this agreement. You agree that nothing in this agreement grants you the ownership of this software or any part thereof, and that this software is only licensed to you, not transferred to you. You hereby agree and acknowledge that in the relationship between you and us, we (or third-party software licensors, as the case may be) own all the rights, ownership and interests of the software, as well as any intellectual property rights (including but not limited to copyright, patents, trademarks and any other proprietary rights) contained in or applicable to the software.

4. This software and its accompanying guidance materials are protected by copyright. Unauthorized reproduction of software and/or guidance materials is prohibited. If you fail to comply with the terms and conditions of the EULA, resulting in or causing any copyright infringement, you can be held legally responsible. You may make one (1) copy of the Software for backup purposes only, provided that the backup copy contains a copyright notice.

5. Your use of the software is subject to the following additional restrictions: (i) it is prohibited to modify, adapt, translate, decompile, reverse engineer or disassemble the software, or try to obtain the source code of the software; (ii) create derivative works based on the Software; (iii) tampering with or interfering with the function, transmission or operation of the Software when using or installing the Software; (iv) sell, lease, transfer, resell or distribute the Software to any third party, unless the original media carrying the Software is transferred together with the products accompanying the initial purchase of the Software; (v) Copy, reproduce, copy (except for reasonable backup purposes), modify or create derivative works of software; (vi) remove the proprietary statement, label or mark on any software; Or (vii) directly or indirectly export or re export the Software to any country prohibited by law.

6. You must comply with the provisions of the relevant laws and regulations of the People's Republic of China, such as the Network Security Law and the Internet News Information Service Management Provisions, when using the service of Powercard, and do not imply that it may be applicable in any other way. Any dispute arising from or in connection with this EULA shall be submitted to the jurisdiction of the Internet Court of Haizhu District, Guangzhou, Guangdong Province. You shall agree that you will not use this service for any illegal or improper activities, including but not limited to the following:

1.1 Upload, display, post, disseminate or otherwise transmit information containing one of the following:

·1.1.1 Opposing the basic principles determined by the Constitution;

·1.1.2 Endangering national security, divulging state secrets, subverting state power and undermining national unity;

·1.1.3 Damage to national honor and interests;

·1.1.4 Inciting national hatred, national discrimination and undermining national unity;

·1.1.5 Those who undermine the national religious policy and promote heresy and feudal superstition;

·1.1.6 Spreading rumors, disturbing social order and undermining social stability;

·1.1.7 Spreading obscenity, pornography, gambling, violence, murder, terror or abetting crime;

·1.1.8 Insult or slander others and infringe upon their legal rights;

·1.1.9 Contents that are false, harmful, threatening, infringing on others' privacy, harassing, infringing, slandering, vulgar, indecent, or other morally objectionable;

·1.1.10 Other contents restricted or prohibited by Chinese laws, regulations, rules, ordinances and any legally effective specifications;

1.2 Do not use PowerCard services to engage in the following activities:

·1.2.1 Entering computer information network or using computer information network resources without permission;

·1.2.2 Deleting, modifying or adding computer information network functions without permission;

·1.2.3 Deleting, modifying or adding data and application programs stored, processed or transmitted in the computer information network without permission;

·1.2.4 Intentionally making and spreading destructive programs such as computer viruses;

·1.2.5 Carry out any commercial act such as advertising, selling goods, or any illegal act against the interests of Powercard, such as selling coins, game coins, plug-ins, props, etc;

·1.2.6 Other behaviors that endanger computer information network security.

7. Disclaimer of Warranty. Powercard is not responsible for any damage caused by your downloading, installing, using or uninstalling the software. Although Lika may provide representations or warranties on this product, it shall be deemed that this software does not contain any form of representation or warranty. To the maximum extent permitted by law, Lectra completely disclaims all express, implied and statutory warranties, including but not limited to the warranties of merchantability, fitness for a particular purpose and non infringement, regardless of whether these warranties are required by law, business practices, transaction process or other factors. Lika does not guarantee that the software is operable, its operation is uninterrupted or error free, it will be compatible with any other products, software or hardware, it will not damage any other products, software or hardware or cause any data loss or damage, or it has the lowest service life. In addition, Ricard expressly refuses to provide any guarantee to anyone other than the software licensee. This disclaimer may not be allowed in some jurisdictions, so the provisions of Article 7 may not apply to you.

8. In no case shall Licard be liable for any direct, indirect, special, incidental, subsequent, exemplary or punitive damages arising from or in connection with your downloading, installation, use, misuse, uninstallation or reliance on this software, whether such liability arises from claims based on contract, warranty, tort (including negligence), product liability, personal injury or other causes, Whether or not Ricardo has been informed of the possibility of such loss or damage. Some jurisdictions limit the availability of such limitation clauses, in which case the provisions of Article 8 may not apply to you.

9. You hereby acknowledge and agree that any third-party application that may be bundled with this software is provided to you by a third-party provider rather than a licensor. You hereby acknowledge and agree that your download, installation and use of any such third-party application is not subject to the EULA, but may be subject to the terms of use, license agreement, privacy policy and/or other agreements of such third-party application providers. Licensor expressly disclaims any liability in connection with any such third party application or your use thereof.

10. By downloading, installing, using or uninstalling this software, you hereby agree to indemnify and hold Lika, its affiliates and their respective directors, officers, employees and agents (the "Indemnified Parties") harmless from (a) your violation of the EULA at your own expense; Or (b) your liability for any loss, damage, injury, lawsuit, claim, demand and expense (including legal process related expenses) arising from your downloading, installing, using or uninstalling the software of any nature or kind against all or part of the above indemnifying parties, including but not limited to personal injury (including death), reputation damage, privacy infringement Compensation for damage to tangible property or data (including loss of property or use of tangible property or data).

11. If a court with jurisdiction considers any provision or part of the EULA to be invalid or unenforceable for any reason, the invalid or unenforceable provision will be deemed to be replaced by a valid and enforceable provision closest to the original intent of the original provision, and the remaining part of the EULA will continue to be in full force and effect.

12. The EULA constitutes the entire agreement between you and us regarding your downloading, installation, use and uninstallation of this software, and supersedes all previous written or oral agreements on this subject.

13. The latest version of the EULA and any changes we have made to the EULA will be published on www.relacart.cn. Your use of this software will be subject to the EULA in effect at the time of use

5、 Other provisions

5.1 The headings of all clauses in this Agreement are only for convenience of reading, and have no actual meaning, and cannot be used as the basis for interpretation of the meaning of this Agreement.

5.2 The terms of this agreement are partially invalid or unenforceable for whatever reason, and the remaining terms are still valid and binding on both parties.
